Terms of Service

1. Acceptance of Terms & Scope

These Terms of Service ("Agreement") are entered into between KriyaLabs Technologies ("KriyaLabs", "we", "us", or "our") and the legal entity or individual creating an account or subscribing to our services ("Customer", "Employer", or "you").

By creating a company workspace, clicking "Start Free Trial", or accessing our web or mobile application, you represent that you have full legal authority to bind your organization to this Agreement. If you do not have such authority or do not agree with these terms, you must not use the platform.

2. Workspace Account Creation & Cadre Roles

To use KriyaLabs, an authorized representative must create an employer workspace:

• Accurate Information: You agree to provide true, accurate, and complete company details, including your business name, corporate email, and GSTIN (if applicable).
• Role-Based Access Control (RBAC): The workspace creator is provisioned as the primary CEO / Admin. Admins may invite Manager, Staff, and Employee users. You are solely responsible for managing teammate permissions and keeping credentials confidential.
• Security: You must promptly notify KriyaLabs via our Contact Support Form or email kriyalabs.in@gmail.com if you discover any unauthorized access or breach of your workspace.

3. Flat-Rate Pricing, Billing & Invoicing

KriyaLabs operates on a transparent, flat-rate pricing model designed to eliminate per-user tier lock-ins:

• Billing Cycle: Subscriptions are billed in advance on a recurring monthly cycle via integrated PCI-DSS Level 1 compliant payment gateways (Razorpay / Cashfree).
• Strict No-Refund Policy: All subscription charges and seat additions paid to KriyaLabs are strictly non-refundable and non-creditable under all circumstances, as detailed in our No-Refund Policy. Once paid, your workspace is active for the full prepaid monthly period. There are no mid-term cancellations, and nothing unexpected will be charged to your account.
• Taxes & GST Invoicing: In accordance with Indian tax laws, applicable Goods and Services Tax (GST @ 18%) is levied on subscription fees. Tax-compliant GST invoices are automatically generated and downloadable from the Admin Billing drawer.
• Price Modifications: KriyaLabs reserves the right to modify pricing with a minimum of 30 days prior written notice. Price changes will take effect only upon your next renewal cycle.

4. Employer Obligations & Employee Consent

Under Indian labor and data protection legislation, the Employer acts as the Data Fiduciary regarding their employees' personnel, location, and salary information:

• Lawful Consent: The Employer represents and warrants that it has established a lawful employment basis or obtained requisite consent from its employees to capture attendance timestamps, GPS punch telemetry, and bank/PAN records for statutory payroll processing.
• Accurate Salary Structures: The Employer is solely responsible for verifying the accuracy of its configured salary structures, PF/ESI deduction rules, and professional tax slabs before issuing payslips or disbursing bank payouts.

5. Acceptable Use Policy & Anti-Spoofing Rules

You agree not to misuse KriyaLabs or assist any party in doing so. You expressly agree not to:

• Reverse engineer, decompile, or attempt to extract source code from any portion of the platform.
• Use mock location apps, simulated coordinates, or GPS spoofing proxies to artificially falsify geofenced attendance logs.
• Launch automated scanners, bots, spiders, or distributed denial-of-service (DDoS) attacks against our infrastructure.
• Circumvent or attempt to disable security controls, role permission boundaries, or encryption mechanisms.

6. Intellectual Property & Customer Data Ownership

Platform Ownership: KriyaLabs Technologies retains all rights, title, and interest in and to the KriyaLabs software, user interface design, logos, algorithms, and documentation. No license is granted except for the limited right to access the service during an active subscription.

7. Service Availability & 99.9% Uptime SLA

KriyaLabs is engineered for mission-critical reliability across Indian business hours:

• Uptime Target: We target a minimum monthly service availability of 99.9%, excluding scheduled maintenance announced at least 48 hours in advance.
• Backups & Redundancy: Customer database records are backed up automatically on a continuous daily schedule with multi-region failover configurations.

8. Prepaid Term, Expiration & 30-Day Export Grace Period

KriyaLabs operates on a fixed, prepaid billing structure:

• Fixed Prepaid Period (No Mid-Term Cancellation): Once a subscription payment is processed, your company workspace is provisioned and active for the full prepaid billing month. There is no mid-cycle cancellation, early termination, or refund. Once paid, you have the service for the entire purchased duration, and you use it for that term. Nothing extra or unexpected will be charged to your account.
• Plan Expiration & Non-Renewal: If you choose not to renew for subsequent billing cycles, your service simply pauses at the conclusion of your paid period with zero penalty or unexpected fees.
• 30-Day Export Window: Upon plan expiration, your workspace enters a protected 30-day grace period. You retain the full ability to download your complete attendance CSV history, salary ledgers, and generated PDF payslips.
• Data Purge: After 30 days following plan expiration, all customer records and employee data are permanently deleted from our active production systems.

9. Limitation of Liability & Disclaimers

To the maximum extent permitted by applicable Indian law:

• KriyaLabs provides its software on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied.
• KriyaLabs is an automation technology tool and does not provide legal, tax, or chartered accountancy advice. The Employer remains responsible for filing its statutory returns (e.g. EPFO, ESIC, TDS) with relevant government authorities.
• In no event shall KriyaLabs' aggregate liability arising out of or related to this Agreement exceed the total subscription fees paid by you in the twelve (12) months preceding the incident.

10. Governing Law & Dispute Resolution

This Agreement shall be governed by, construed, and enforced in accordance with the laws of India. Any legal dispute, controversy, or claim arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts situated in Hyderabad, Telangana, India.
